Public Notices Published Saturday, September 4th, 2010s and agrees that, to the extent permitted by the laws of the State of Louisiana, it will comply with the requirements of the Internal Revenue Code of 1986 and any amendment thereto (the “Code”) in order to establish, maintain and preserve the exclusion from “gross income” of interest on the Bonds under the Code. The Governing Authority further covenants and agrees that it will not take any action, fail to take any action, or permit any action within its control to be taken, or permit at any time or times any of the proceeds of the Bonds or any other funds of the Issuer to be used directly or indirectly in the manner, the effect of which would be to cause the Bonds to be “arbitrage bonds” or would result in the inclusion of the interest on any of the Bonds in gross income under the Code, including, without limitation, (i) the failure to comply with the limitation on investment of Bond proceeds or (ii) the failure to pay any required rebate of arbitrage earnings to the United States of America or (iii) the use of the proceeds of the Bond in a manner which would cause the Bonds to be “private activity bonds”. The Executive Officers are hereby empowered, authorized and directed to take any and all action and to execute and deliver any instrument, document or certificate necessary to effectuate the purposes of this Section. SECTION 26. Loan Agreement. The Governing Authority recognizes that the Bonds will be delivered to the Department as evidence of the obligation of the Issuer to repay the loan by the Department to the Issuer in accordance with the provisions of this Bond Ordinance. At or prior to the delivery of the Bonds and upon advice of Bond Counsel, the Issuer and the Issuer will enter into the Loan Agreement. As long as the Department owns the Bonds (although such Bonds may be pledged or assigned to another), and only as long as the Department owns the Bonds, then to the extent that any provision of this Bond Ordinance is inconsistent with or contrary to the Loan Agreement, the applicable provision of the Loan Agreement shall control. As shall be provided in the Loan Agreement, the Issuer shall comply with certain provisions of the Loan Agreement, as specified therein, regardless of whether or not the Department is the owner of the Bonds and regardless of any prepayment or defeasance of the Bonds prior to the final stated maturity thereof With the advice of counsel, the Executive Officers are hereby further authorized and directed to execute on behalf of the Issuer the Loan Agreement, and are hereby further authorized and directed for and on behalf of and in the name of the Issuer to execute and deliver a Commitment Agreement and any and all additional instruments, documents and certificates which may be required by or provided for in the Loan Agreement or requested by the Department or as may otherwise be required for or necessary, convenient or appropriate to the transactions authorized hereby and the Loan Agreement. SECTION 27. Bonds are “Bank-Qualified.” The Bonds are designated as “qualified tax-exempt obligations” within the meaning of Section 265(b)(3) of the Code. In making this designation, the Issuer finds and determines that the Bonds are not “private activity bonds” within the meaning of the Code; and the reasonably anticipated amount of qualified tax-exempt obligations which will be issued by the Issuer and all subordinate entities in calendar year 2010 does not exceed $30,000,000. SECTION 28. Publication. A copy of this Ordinance shall be published immediately after its adoption in one issue of the official journal of the Issuer. SECTION 29. Headings. The headings of the various sections hereof are inserted for convenience of reference only and shall not control or affect the meaning or construction of any of the provisions hereof. SECTION 30. By virtue of applicant/issuer’s application for, acceptance and utilization of the benefits of the Louisiana State Bond Commission’s approval(s) resolved and set forth herein, it resolves that it understands and agrees that such approval(s) are expressly conditioned upon, and it further resolves that it understands, agrees and binds itself, its successors and assigns to, full and continuing compliance with the “State Bond Commission Policy on Approval of Proposed Use of Swaps, or other forms of Derivative Products Hedges, Etc.”, adopted by the Commission on July 20, 2006, as to the borrowing(s) and other matter(s) subject to the approval(s), including subsequent application and approval under said Policy of the implementation or use of any swap(s) or other product(s) or enhancement(s) covered thereby. SECTION 31. Effective Date. This Ordinance shall become effective immediately. The facility is located at 6217 Hwy. 15 South in Chase, Franklin Parish. Upon the effective date of the final permit, the LPDES permit shall replace the previously issued LPDES permit. The principal discharge from this existing source is made into an unnamed ditch, thence into Boggy Bayou, thence into Turkey Creek, thence into Turkey Creek Lake, waters of the state classified for primary contact recreation, secondary contact recreation and propagation of fish and wildlife. Under the SIC Code 4225, the applicant proposes to discharge equipment washwater, process wastewater from vehicle washdown, shop floor washdown, laboratory drains, moisture room floor drains, treated sanitary wastewater, and stormwater runoff to an existing administration, maintenance, and storage facility. During the preparation of this permit, it has been determined that the discharge will have no adverse impact on the existing uses of the receiving waterbody. As with any discharge, however, some change in existing water quality may occur. Written comments, written requests for a public hearing or written requests for notification of the final decision regarding this permit action may be submitted to Ms. Soumaya Ghosn at LDEQ, Public Participation Group, P.O.
