Pledge led by John Dumas Prayer led by Richard Mahoney Aldermen present: Rosemary Davis, Richard Mahoney, Betty Johnson, Craig Gill, Rex McCarthy Absent: None Motion by Gill, second by Johnson to approve the minutes of the regular session held on May 17, 2010. Unanimously approved. OLD POST OFFICE MUSEUM: Kay LaFrance Knight appeared before the Board asking the City of Winnsboro to sign a lease between the City and Mainstreet for the Old Post Office Museum. There is a substantial completion date of August 2, 2010, and at that time the Mainstreet office will relocate to the museum. The Mainstreet board is asking for a 25 year lease. Motion by Gill, second by Johnson and unanimously approved to authorize Mayor Dumas to sign lease. RESOLUTION NO. 10-0601: Motion by Mahoney, second by McCarthy and unanimously approved to adopt Resolution No. 10-0601 with USDA authorizing and providing for the incurrence of indebtedness for the purpose of providing a portion of the cost of acquiring, constructing, enlarging, improving, and/or extending its community center facility to serve an area lawfully within its jurisdiction to serve. RESOLUTION NO. 10-0602: Motion by Mahoney, second by McCarthy and unanimously approved to adopt Resolution No. 10-0602 with USDA authorizing Mayor to execute all necessary documents on behalf of the City to accept a Community Facilities grant from USDA, Rural Development, Rural Housing Service. INTRODUCE ORDINANCE: Motion by Mahoney, second by McCarthy and unanimously approved to introduce an ordinance to incur debt on the community center. INTRODUCE ORDINANCE: Motion by Gill, second by Johnson to introduce an ordinance on the franchise agreement with Atmos Energy. RESOLUTION NO. 10-0603: BE IT RESOLVED, by the Mayor and Board of Aldermen of the City of Winnsboro, Louisiana, convened in regular session this 21st day of June 2010, that the Franklin Sun be appointed as official journal of the City of Winnsboro and that Ms. Sam Hanna be appointed as official printer for the fiscal year beginning July 1, 2010 and ending June 30, 2011. On a motion by Gill, second by Davis the above resolution was passed on this 21st day of June 2010, by the following vote: Yeas: Mahoney, Davis, Johnson, Gill, McCarthy Nays: None Absent: None RESOLUTION NO. 10-0604: WHEREAS, Section 7 and 8 of Act 39 of the Legislature and all amendments thereto require that all public bodies receiving and disbursing public funds be and they are hereby required under this act to appoint a fiscal agent or depository; and WHEREAS, at this time, the City of Winnsboro is without a fiscal agent or depository for the fiscal year beginning July 1, 2010 and ending June 30, 2011. NOW THEREFORE BE IT RESOLVED, by the Mayor and Board of Aldermen of the City of Winnsboro, Franklin Parish, Louisiana, in regular session convened this 21st day of June, 2010, that the Franklin State Bank and Trust Company, Winnsboro State Bank and Trust Company, Progressive Bank and Citizens Progressive Bank be appointed as fiscal agents of the City of Winnsboro. That all funds handled by the City of Winnsboro be divided between said banks on a percentage of each State of Louisiana Banking department each quarter and published in the Franklin Sun. The demand and Certificates of Deposit shall be divided between the banks on the published Report of Conditions of the banks. That the investments in the Certificates of Deposit with each bank bear an interest rate equal to the U.S. Treasury Bill rate on the day of investment insofar as the interest rate paid on the Certificates of Deposit will be in compliance with the federal regulation pertaining to interest rates. On a motion by Gill, second by McCarthy the above resolution was passed this 21st day of June, 2010, by the following vote: Yeas: Mahoney, Davis, Johnson, Gill, McCarthy Nays: None Absent: None RESOLUTION NO. 10-0605: A RESOLUTION ADOPTING THE SYSTEMS SURVEY AND COMPLIANCE QUESTIONNAIRE FOR FISCAL YEAR ENDING JUNE 30, 2011. WHEREAS, the State Legislative Auditor required the local governing body to adopt the Systems Survey and Compliance Questionnaire. NOW BE IT THEREFORE RESOLVED, by the Board of Aldermen of the City of Winnsboro, Louisiana, in regular session convened this 21st day of June 2010, that they do hereby adopt the Systems Survey and Compliance Questionnaire required by the State Legislative Auditor. On a motion by Gill, second by Johnson the above resolution was passed on this the 21st day of June 2010, by the following vote: Yeas: Mahoney, Davis, Johnson, Gill, McCarthy Nays: None Absent: None RESOLUTION NO. 10-0606: Motion by McCarthy, second by Gill and unanimously approved to adopt Resolution No. 10-0606 – Louisiana Disaster Recovery Community Development Block Grant Municipal Infrastructure Program Selection Criteria for Administrative Consultants and Engineers. RESOLUTION NO. 10-0607: Motion by McCarthy, second Johnson and unanimously approved to adopt Resolution No. 10-0607 - Louisiana Disaster Recovery Community Development Block Grant Municipal Infrastructure Program to schedule a public hearing for July 8, 2010 at 6:00 PM. RESOLUTION NO. 10-0608: Motion by Gill, second by Johnson and unanimously approved to adopt Resolution No. 10-0608 - Louisiana Disaster Recovery Community Development Block Grant Municipal Infrastructure Program Citizens Participation Plan. RESOLUTION NO. 10-0609: Motion by McCarthy, second by Mahoney and unanimously approved to adopt Resolution No. 10-0609 - Louisiana Disaster Recovery Community Development Block Grant Municipal Infrastructure Program Procurement Policy. RESOLUTION NO. 10-0610: At a regular meeting of the Mayor and City Council of the City of Winnsboro, Louisiana, held on Monday, June 21, 2010, at which meeting a quorum was present, due notice of same having been made according to law, the following Resolution was made: WHEREAS, the City desires to improve the City streets; and WHEREAS, the City of Winnsboro has available funds to covers the Engineer’s cost estimate; NOW THEREFORE BE IT RESOLVED that the Mayor is hereby authorized, on behalf of the City, to publicly advertise for bids for the 2010 Street Improvements Project with bids being received at the appropriate time and date in accordance with the Louisiana Public Bid Laws. This Resolution being submitted to a vote, the vote thereon was as follows: YEAS: Mahoney, Davis, Johnson, Gill, McCarthy NAYS: None ABSENT AND NOT VOTING: None RESOLUTION NO. 10-0611: At a regular meeting of the Mayor and City Council of the City of Winnsboro, Louisiana, held on Monday, June 21, 2010, at which meeting a quorum was present, due notice of same having been made according to law, the following Resolution was made: WHEREAS, the City desires to install new water service lines on Maple Street and reconnect services to an existing water main along Harris Street; and WHEREAS, the City of Winnsboro has available funds to covers the Engineer’s cost estimate; NOW THEREFORE BE IT RESOLVED that the Mayor is hereby authorized, on behalf of the City, to solicit quotes for the Maple Street and Harris Street Utility Relocation Project. POLICE CHIEF MONTHLY REPORT: Chief Lester Thomas gave a monthly activity report for the City of Winnsboro Police Department. Motion by Gill, second by Johnson to accept the report as given. Unanimously approved. Police Chief Thomas requested by letter for an increase in his budget for fiscal year ending June 30, 2010. Due to excessive repairs to vehicles he asked for a $10,000 increase in his operating budget. Motion by McCarthy, second by Davis and unanimously approved. FIRE CHIEF MONTHLY REPORT: Chief Truman Welch gave a monthly activity report for the City of Winnsboro Fire Department. Motion by McCarthy, second by Mahoney to accept the report as given. Unanimously approved. MONTHLY FINANCIAL REPORTS: Motion by Mahoney, second by Johnson to accept the monthly financial reports. Unanimously approved. ADJOURNMENT: There being no more business to come before the board at this time, a motion was made by Davis, second by Johnson and unanimously approved that the meeting be adjourned. Roxy Fletcher Jack Hammons City Clerk Mayor mmm AMENDED NOTICE OF INTENTION TO ISSUE NOT EXCEEDING $1,000,000 OF SEWER REVENUE BONDS OF THE CITY OF WINNSBORO, PARISH OF FRANKLIN, STATE OF LOUISIANA, SERIES 2010 The Notice of Intention previously published is amended to extend the maturity of the proposed Bonds to allow for a one year interim (interest only) construction period provided under DEQ Regulations. All other provisions of the Notice, including the hearing date, remain unchanged. PUBLIC NOTICE IS HEREBY GIVEN, pursuant to the provisions of a resolution adopted on April 19, 2010, by the Mayor and Board of Aldermen of the City of Winnsboro, State of Louisiana (the “Governing Authority”), acting as the governing authority of the City of Winnsboro, Parish of Franklin, State of Louisiana (the “City”), and in accordance with the provisions of Part XIII, Chapter 4, Title 39 of the Louisiana Revised Statutes of 1950, as amended (La. R.S. 39:1011, et seq.), and other constitutional statutory authority (“Act”), that the Governing Authority does hereby declare its intention to issue not exceeding ONE MILLION AND NO/100 DOLLARS ($1,000,000) of Sewer Revenue Bonds of the City, Series 2010 (the “Bonds”), in one or more series, the proceeds of which will be used to construct and acquire improvements, extensions and replacements to the sewer system of the City, including appurtenant equipment, accessories and properties, both personal and real, a work of public improvement for the City. The Bonds shall be limited and special revenue bonds of the City, secured by and payable in principal, interest and redemption premium, if any, solely from the income and revenues derived by the City from the operation of its sewer system (the “System”), after paying the reasonable and necessary costs and expenses of operating and maintaining the System. The proposed Bonds shall not be a charge on the other income and revenues of the City as prohibited under the provisions of Article VI, Section 37 of the Louisiana Constitution of 1974, nor shall they constitute an indebtedness or pledge of the general credit of the City. The Bonds will be exempt from all income taxation in the State of Louisiana and will be issued and authorized by ordinance of the Governing Authority and shall be of such series, bear such date, mature at such time or times (not to exceed twenty-one (21) years from their date of issuance), bear interest at such rate or rates (not exceeding three per centum (3%) per annum), be in such denomination or denominations, be in fully registered form, carry such registration privileges, be payable in such medium of payment and at such place or places, be subject to such terms of redemption and be entitled to such priorities on the income and revenues of the System as such resolution may provide. The City will in such ordinance enter into such covenants with the future owner or owners of the Bonds as to the management and operation of the System, the imposition and collection of rates and charges for the services rendered thereby, the disposition of such fees and revenues, the issuance of future bonds and the creation of future liens and encumbrances against the System and the revenues therefrom, the carrying of insurance, the keeping of books and records, and other pertinent matters as may be deemed proper by the Governing Authority to assure the marketability of the Bonds, consistent with the provisions of the Act. Such ordinance will also include remedies in case of default, provisions for the issuance of parity bonds and such additional covenants, agreements and provisions as are judged advisable or necessary by said Governing Authority for the security of the owners of the Bonds, including sinking funds and reserves for the payment of principal and interest on the Bonds, and an adequate depreciation funds for those repairs and improvements to the System as may be necessary to assure adequate and efficient service to the public, all as provided by the Act. The City further may determine in such ordinance to designate the Bonds as “Build America Bonds (“Direct Payment”) pursuant to Section 54AA of the Internal Revenue Code. In such case, the Bonds will also be payable in part from a direct interest subsidy payments (if any) received from the United States of America by virtue of all or a portion of the Bonds being designated as “Build America Bonds” pursuant to the American Recovery and Reinvestment Act of 2009. NOTICE IS HEREBY FURTHER GIVEN that the Bonds will be privately placed with the Louisiana Department of Environmental Quality (the “Department”) pursuant to the Municipal Facilities Revolving Loan Fund established by the State of Louisiana, pursuant to Subchapter II, chapter 4 of Title 30 of the Louisiana Revised Statutes of 1950, as amended, specifically La. R.S. 30:2078, et seq.) in the custody of the Department, which is to be used for the purpose of providing financial assistance for the improvement of sewerage systems in the State. Notwithstanding the foregoing, the Bonds may be sold at public or private sale, as provided for in the Act and statutory authority. NOTICE IS HEREBY FURTHER GIVEN that the Bonds will, before the delivery thereof, be approved by the State Bond Commission, Baton Rouge, Louisiana. NOTICE IS HEREBY FURTHER GIVEN that the Governing Authority will meet in open and public session on July 19, 2010, at six o’clock (6:00) p.m., at the City Hall, Winnsboro, Louisiana, to hear any objections to the proposed issuance of the Bonds, provided, however, if at such hearing a petition or petitions duly signed by electors of the City in an aggregate number not less than five percent (5%) of the number of the electors of the City voting in the last special or general election held in the City object to the issuance of the Bonds, then the Bonds shall not be issued until approved by a vote of a majority of the qualified electors of the City who vote at a special election held for that purpose in the manner provided by Title 18 of the Louisiana Revised Statutes of 1950. Any such petition shall be accompanied by a certificate of the Franklin Parish Registrar of Voters certifying that the signers of the petition (s) are registered electors of the City and the number of signers amounts to not less than five percent (5%) of the registered voters that voted in the last election held in the City, all as provided by the Act.
