The Franklin Parish School Board met for its regular scheduled meeting on Tuesday, September 8, 2009 at 5:30 p.m. in the Franklin Parish School Board Complex board room. Board met on Tuesday due to the Labor Day Holiday.
Present for the meeting were Mrs. Louise Johnson, Mr. Tim Eubanks, Mrs. Dorothy Brown, Mr. Eddie Ray Bryan, Mr. Ronnie Hatton, Mr. Jesse Young and Mr. Richard Kelly.
No board member was absent from the meeting.
President Eddie Ray Bryan called the meeting to order, Chaplain Richard Kelly led in prayer and President Bryan led in the Pledge of Allegiance.

MOTION TO APPROVE MINUTES FROM AUGUST 3, 2009 MEETING

AGRICULTURE EXTENSION OFFICE SPEAKER
Mrs. Carol Allison gave an update on the projects and activities of the Agriculture Extension Office.
BILLY CUREINGTON, OLD WISNER HIGH SCHOOL BUILDING
Wisner Chief of Police Billy Cureington spoke to the Board on acquiring a cooperative endeavor for the old Wisner High School building. Mr. Cureington, Steve Young and Roy Hilliard met with Superintendent Johnson earlier on this matter. The Town of Wisner was looking into getting this cooperative endeavor but they are not going to pursue this anymore. Superintendent Johnson told Mr. Cureington that their group will need to get name and a tax exempt status documentation to receive this cooperative endeavor.
MOTION TO GRANT A COOPERATIVE ENDEAVOR FOR THE OLD WISNER HIGH SCHOOL BUILDING

BE IT ORDAINED, ETC., that the Franklin Parish School Board adopt the millage rate(s) for tax year 2009.
RESOLUTION
BE IT RESOLVED, that the following millage is here by levied on the 2009 tax roll on all property subject to taxation by the FRANKLIN PARISH SCHOOL BOARD.

BE IT FURTHER RESOLVED, that this proper administrative officials of the Parish of FRANKLIN, State of LOUISIANA, be and they are hereby empowered, authorized, and directed to spread said taxes, as hereinabove set forth, upon the assessment roll of said Parish for the year 2009, and to make the collections of the taxes imposed for and on behalf of the taxing authority, according to law, and that the taxes herein levied shall become a permanent lien and privilege on all property subject to taxation as herein set forth, and collection thereof shall be enforceable in a manner provided by law.
The foregoing resolution was read in full, the roll was called on the adoption thereof, and the resolution was adopted by the following votes:

PAM MCBROOM, HEAD START REPORT
Mrs. McBroom reported on the activities of Head Start. Head Start has a full enrollment of 136 students. Great attendance so far. There is waiting list for students. There is no a/c working. The a/c is being worked on to get it working. Head Start is preparing for monitors. They could come from October to May. She has received verbal approval of spending stimulus money. Financial reports for June and July were given to Board members.

MOTION TO CONSIDER AND TAKE ACTION WITH RESPECT TO ADOPTING A RESOLUTION GIVING PRELIMINARY APPROVAL TO THE ISSUANCE OF NOT TO EXCEED $1,500,000.00 OF REVENUE BONDS (TAXABLE QSCB) IN ONE OR MORE SERIES, OF THE PARISH OF FRANKLIN, STATE OF LOUISIANA; AND PROVIDING FOR OTHER MATTERS IN CONNECTION THEREWITH

RESOLUTION
A resolution giving preliminary approval to the issuance of not to exceed One Million Five Hundred Thousand Dollars ($1,500,000) of Revenue Bonds (Taxable QSCB), in one or more series, of the Parish School Board of the Parish of Franklin, State of Louisiana; providing certain terms of said Bonds, making application to the State Bond Commission for the approval of said Bonds, and providing for other matters in connection therewith.
WHEREAS, the Parish School Board desires to give preliminary approval to the incurring of debt and issuance of not exceeding $1,500,000 of its Revenue Bonds (Taxable QSCB) (the “Bonds”), in one or more series, for the purpose of construction, rehabilitation or repair of public school facilities, including equipping of school facilities improved with Bond proceeds, and paying the costs of issuance of the Bonds, said Bonds to be payable from an irrevocable pledge and dedication of the funds to be derived by the Issuer from the levy and collection of a special tax of 4.53 mills (such rate being subject to adjustment from time to time due to reassessment) (the “Tax”) which the Issuer is authorized to impose and collect each year, to mature over a period not exceeding 15 years and to be either non-interest bearing or to bear interest at a rate or rates not exceeding 1.25% per annum; and
WHEREAS, the Issuer is not now a party to any contract by a pledge or dedication of the Tax; and
WHEREAS, the Issuer desires to make formal application to the State Bond Commission for approval of the Bonds;
NOW, THEREFORE, BE IT RESOLVED by the Franklin Parish School Board, acting as the governing authority of the Parish School Board of the Parish of Franklin, State of Louisiana, that:
SECTION 1. Preliminary Approval of Revenue Bonds, Preliminary approval is given to the issuance of not exceeding $1,500,000 of Revenue Bonds (Taxable QSCB) (the “Bonds”), in one or more series, of the Parish School Board of the Parish of Franklin, State of Louisiana (the “Issuer”), pursuant to Section 1430 of Title 39 of the Louisiana Revised Statues of 1950, as amended, and other constitutional and statutory authority, for the purpose of construction, rehabilitation or repair of public school facilities, including equipping of school facilities improved with Bond proceeds, and paying the costs incurred in connection with the issuance thereof (the “Projects”), said Bonds to be payable from an irrevocable pledge and dedication of the funds to be derived by the Issuer from the levy and collection of a special tax of four and fifty three hundredths (4.53) mills (such rate being subject to adjustment from time to time due to reassessment) (the “Tax”) which the Issuer is authorized to impose and collect each year. The Bonds will be either non-interest bearing or bear interest at a rate or rates not exceeding 1.25% per annum and shall mature over a period not exceeding 15 years. The Bonds shall be issued in fully registered form, shall be sold to the purchasers there of at a price of not less than 97% of par, plus accrued interest, if any, and shall have such additional terms and provisions as may be determined by the Issuer.
SECTION 2. State Bond Commission Approval. Application be and the same is hereby formally made to the State Bond Commission, Baton Rouge, Louisiana, for its consent and authority to issue and sell the Bonds, and a certified copy of this resolution shall be forwarded to the State Bond Commission on behalf of the Issuer, together with a letter requesting the prompt consideration and approval of this application. By virtue of applicant/issuer’s application for, acceptance and utilization of the benefits of the Louisiana State Bond Commission’s approval(s) resolved and set forth herein, it resolves that it understands and agrees that such approval(s) are expressly conditioned upon, and it further resolves that it understands, agrees and binds itself, its successors and assigns to, full and continuing compliance with the “State Bond Commission Policy on Approval of Proposed Use of Swaps, or other forms of Derivative Products Hedges, Etc.”, adopted by the Commission on July 20, 2006, as to the borrowing(s) and other matter(s) subject to the approval(s), including subsequent application and approval under said Policy of the implementation or use of any swap(s) or other product(s) or enhancement(s) covered thereby.
SECTION 3. Authorization and Sale of the Bonds. The Bonds described in the preamble are hereby authorized to be sold by private placement to one or more institutions (the “Purchaser”) provided the details of the Bonds are in accordance with the provisions of this resolution, and in particular that (i) the principal amount of the Bonds does not exceed $1,500,000, (ii) the term of the Bonds does not exceed 15 years and (iii) the Bonds are either non-interest bearing or bear interest at a rate or rates not exceeding 1.25% per annum. The Superintendent is hereby authorized to sign a Commitment Letter or Bond Purchase Agreement providing for the sale of the Bonds to the Purchaser, in form and substance satisfactory to Bond Counsel to this School Board, meeting the requirements set forth above, which Commitment Letter or Bond Purchase Agreement shall constitute the final sale of the Bonds without further approval of this Bond.
SECTION 4. Bond Counsel. The Parish School Board finds and determines that a real necessity exists for the employment of special bond counsel in connection with the issuance of the Bonds. Foley & Judell, LLP, Bond Counsel, is hereby requested to do and perform comprehensive legal and coordinate professional work as bond counsel with respect to the issuance and sale of the Bonds. Said Bond Counsel shall prepare and submit to the Parish School Board for adoption of all the proceedings incidental to the authorization, issuance, sale and delivery of such Bonds, shall counsel and advise the Issuer as to the issuance and sale thereof and shall furnish its opinion covering the legality of the issuance of the Bonds. The fee of said Bond Counsel shall not exceed the fee allowed by the Attorney General’s fee guidelines for comprehensive, legal and coordinate professional work in connection with the issuance of revenue bonds and based on the amount of said Bonds actually issued, sold, delivered and paid for, plus “out-of-pocket” expenses, said fees to be contingent upon the issuance, sale and delivery of said Bonds. A certified copy of this resolution shall be submitted to the Attorney General of the State of Louisiana for his written approval of said employment and of the fees herein designated, and the Business Manager is hereby empowered and directed to issued vouchers to said Bond Counsel in payment for the work herein provided for upon completion of the work herein specified and under the conditions herein enumerated.
SECTION 5. Declaration of Official Intent. Prior to the delivery of the Bonds, the Issuer anticipates that it may pay a portion of the costs of the Projects from available funds. The projects include specifically construction, rehabilitation or repair of public schools facilities, including equipping of school facilities improved with Bond proceeds. Upon the issuance of the Bonds, under the provisions of 26 U.S.C. 54F, the Issuer reasonable expects to reimburse any such expenditures of other available funds from a portion of the proceeds of the Bonds, which are classified as a qualified tax credit bond by 26 U.SA.C. 54A(d)(1)(E). Any such allocation of proceeds of the Bonds for reimbursement will be with respect to capital expenditures (as defined in Reg. 1.150-1(b)) and will be made upon the delivery of the Bonds and not later than eighteen (18) months after the date such expenditure was paid. This Section is intended to be a declaration of official intend within the meaning of 26 U.S.C. 45A(d)(2)(D).

MOTION TO CONSIDER AND TAKE ACTION WITH RESPECT TO ADOPTING A RESOLUTION ORDERING AND CALLING SPECIAL ELECTION TO BE HELD IN THE PARISH OF FRANKLIN, STATE OF LOUISIANA, TO AUTHORIZE THE LEVY OF A SALES AND USE TAX THEREIN, MAKING APPLICATION TO THE STATE BOND COMMISSION IN CONNECTION THEREWITH AND PROVIDING FOR OTHER MATTERS IN CONNECTION THEREWITH

BE IT ORDAINED, ETC., that the Franklin Parish School Board approve to take action with respect to adopting a resolution ordering and calling special election to be held in the Parish of Franklin, State of Louisiana, to authorize the levy of a sales and use tax therein, making application to the State Bond commission in connection therewith and providing for other matters in connection therewith.
RESOLUTION
A resolution ordering and calling a special election to be held in the Parish of Franklin, State of Louisiana, to authorize the renewal of a sales and use tax therein; making application to the State Bond Commission in connection therewith; and providing for other matters in connection therewith.
BE IT RESOLVED by the Parish School Board of the Parish of Franklin, State of Louisiana (the “Governing Authority”), acting as the governing authority of the Parish of Franklin, State of Louisiana (the “Parish”), that:
SECTION 1. Election Call. Subject to the approval of the State Bond Commission, and under the authority conferred by Article VI, Section 29 of the Constitution of the State of Louisiana of 1974, the applicable provisions of Chapter 5, Chapter 6-A and Chapter 6-B of the Louisiana Election Code, and other constitutional and statutory authority, a special election is hereby called and ordered to be held in the Parish on SATURDAY, NOVEMBER 14, 2009, between the hours of six o’clock (6:00) a.m., and eight o’clock (8:00) p.m., in accordance with the provisions of La. R.S. 18:541, and at the said election there shall be submitted to all registered voters qualified and entitled to vote at the said election under the Constitution and laws of this State and the Constitution of the United States, the following proposition, to-wit:
PROPOSITION
(SALES AND USE TAX RENEWAL)
Summary: 10 years, 1/2% sales and use tax renewal with a minimum of 15% of the net proceeds of the tax to be used for purchasing and acquiring classroom teaching supplies and equipment and the remaining net proceeds to be placed in a separate account to be dedicated, allocated and used for the purpose of improving school related facilities and equipment for, and paying maintenance and operating expenses of, the public school system of the Parish (excluding the payment of salaries of school board members)
Shall the Parish School Board of the Parish of Franklin, State of Louisiana (the “Parish School Board”), under the provisions of Article VI, Section 29 of the Constitution of the State of Louisiana of 1974, and other constitutional and statutory authority supplemental thereto, be authorized to continue to levy and collect, and adopt an ordinance providing for such levy and collection, a tax of one-half of one percent (1/2%) (the “Tax”) from and after July 1, 2010, upon the sale at retail, the use, the lease or rental, the consumption and the storage for use or consumption, of tangible personal property and upon the sale of services in Franklin Parish (the “Parish”) all as defined by law (an estimated $1,200,000 reasonably expected at this time to be collected from the levy of the tax for an entire year), for a period of ten (10) years with a minimum of fifteen percent (15%) of the net proceeds of the Tax (after paying the reasonable and necessary costs and expenses of collecting and administering the Tax) to be used for the purpose of purchasing and acquiring classroom teaching supplies and equipment, and the remaining net proceeds to be placed in a separate account to be dedicated, allocated and used for the purpose of improving school related facilities and equipment for, and paying maintenance and operating expenses of, the public school system of the Parish (excluding the payment of salaries of School Board members)?
SECTION 2. Publication of Notice of Election. A Notice of Special Election shall be published in the Franklin Sun, a weekly (Wednesday) newspaper of general circulation within the Parish, published in Winnsboro, Louisiana and being the official journal of the parish, once a week for four consecutive weeks, with the first publication to be made not less than forty-five (45) days nor more than ninety (90) days prior to the date of the election, which Notice shall be substantially in the form attached hereto as “Exhibit A” and incorporated herein by reference the same as if it were set forth herein in full.
SECTION 3. Canvass. This Governing Authority shall meet at its regular meeting place, the Franklin Parish School Board Office, Winnsboro, Louisiana, on MONDAY, DECEMBER 7, 2009, at FIVE-THIRTY O’CLOCK (5:30) P.M., and shall then and there in open and public session proceed to examine and canvass the returns and declare the result of the said special election.
SECTION 4. Polling Places. The polling places set forth in the aforesaid Notice of Special Election are hereby designated as the polling places at which to hold the said election, and the Commissioners-in-Charge and Commissioners, respectively, will be the same persons as those designated in accordance with law.
SECTION 5. Election Commissioners; Voting Machines. The officers designated to serve as Commissioners-in-Charge and Commissioners pursuant to Section 4 hereof, or such substitutes therefor as may be selected and designated in accordance with La. R.S. 18:1287, shall hold the said special election as herein provided, and shall make due returns of said election for the meeting of the Governing Authority to be held on Monday, December 7, 2009, as provided in Section 3 hereof. All registered voters in the Parish will be entitled to vote at the special election, and voting machines shall be used.
SECTION 6. Authorization of Officers. The Secretary of the Governing Authority is hereby empowered, authorized and directed to arrange for and to furnish to said election officers in ample time for the holding of said election, the necessary equipment, forms and other paraphernalia essential to the proper holding of said election and the President and/or Secretary of the Governing Authority are further authorized, empowered and directed to take any and all further action required by State and/or Federal law to arrange for the election, including but not limited to, appropriate submission to the Federal Department of Justice under Section 5 of the Federal Voting Rights Act of 1965, as amended.
SECTION 7. Furnishing Election Call to Election Officials. Certified copies of this resolution shall be forwarded to the Secretary of State, the Clerk of Court and Ex-Officio Parish Custodian of Voting Machines of Franklin Parish and the Registrar of Voters of Franklin Parish, as notification of the special election, in order that each may prepare for said election and perform their respective functions as required by law.
SECTION 8. Application to State Bond Commission. Application is made to the State Bond Commission for consent and authority to hold the special election as herein provided, and in the event said election carries for further consent and authority to continue to levy and collect the sales and use tax provided for therein. A certified copy of this resolution shall be forwarded to the State Bond Commission on behalf of this Governing Authority, together with a letter requesting the prompt consideration and approval of this application.

The said special election will be held in accordance with the applicable provisions of Chapter 5, Chapter 6-A and Chapter 6-B of Title 18 of the Louisiana Revised Statutes of 1950, as amended, and other constitutional and statutory authority, and the officers appointed to hold the said election, as provided in this Notice of Special Election, or such substitutes therefor as may be selected and designated in accordance with La.
