Absent: Dr. Jan Hicks and Michael Wright Others Present: Robert Boullion, Blake Kramer, Sheila Mason, Dr. Busby, Sam Wiggins, Katie Norwood, Debi Elrod, and Blake Kramer Call to Order and Invocation: Mr. Poulos called the meeting to order and Mr. Warner gave the invocation. Approval of Minutes: Motion was made by Mr. Price seconded by Mr. Warner and unanimously carried approving the minutes for Dec 20, 2007 regular meeting and the December 20, 2007 special meeting as they were presented. Financial Report: Robert Boullion reported the financials as follows: Mr. Boullion gave the financial statement for December 2007 including several graphs showing the trends since the hospital has been in operation. Trending revealing the decreases to income has been substantially due to decline in admissions. Admissions for January, 2008 look to be on the rise compared to December, 2007. There was some discussion regarding employee benefits totaling 55% of our net revenue. Approval was sought from the Board to approve the purchase of ER curtains. The motion was made by Mr. Price, seconded by Mr. Warner, and followed with a unanimous vote to approve. Mr. Poulos sought approval of the financial statement as presented. The motion was made by Mr. Warner, seconded by Mr. Price, and followed with a unanimous vote to approve. Medical Staff: Dr. Busby presented the following: Reappointment of Tommy Baldwin, Jr. CRNA The motion was made by Mr. Price, seconded by Mr. Warner, and followed with a unanimous vote to approve. Dr. Busby presented his plan/guidelines for his next year as Chief of Staff. Chief Nursing Officer Report: Sheila Mason presented the following: The hospital is in the process of compiling physician and nurse teams to oversee Quality Measures. Ms. Elrod gave the Performance Improvement reports for October and November 2007. There was some discussion regarding proper medical documentation of wombs. The staff and the board are taking steps to upgrade photography equipment to avoid future issues. Mr. Poulos sought a motion to approve the PI report as given by Ms. Elrod. The motion was made by Mr. Price, seconded by Mr. Warner, followed by a unanimous vote to approve. Ms. Mason is working to expand the Franklin Health Coalition to all area healthcare givers. Ms. Elrod will be attending an educational resources coarse to begin her process in obtaining APIC certification. Ms. Mason is arraigning for our ER nurses to take their trauma core courses and their pediatric courses her at FMC instead of traveling. The goal is to have all ER nurses certified at one time. All directors have completed their NIMS requirements. Ms. Mason gave an update on FMC nursing scholarships. FMC will be participating for the eighth year in the AHEC program for high school age teens. Ms. Mason gave the CT and MRI usage report. The usage has declined due to decrease in admissions. In hopes of increasing our CT scans there will be a press release. Randy Tillman, MD a gastrologist has been given temporary privileges and will be extending his practice to FMC. Grants: We have been awarded a Susan G. Komen Grant to provide mammograms for 20 women. The Prescription Assistance Program overseen by Kasey Odgen has saved members of the community over 130,000.00 on medications since the onset of this program. HRSA EP Phase I, Year III has been awarded to FMC again this year. The amount will be disclosed when received. Mental Health Outreach is going to be promoted in the up coming months. Ms. Mason has designed an informational pamphlet to be given to patients and community members to inform them of this service. SCHIP Grant has been awarded to FMC for Board Education. Meetings: Ms. Mason and Mr. Boullion will be attending a LHA Leadership Symposium in February. FMC will be making a strong effort to inform the community of our physicians, nurse practitioners, IOP services, and our Health Clinics. FMC is participating in the ìGo Red for Womenî Heart Association fund raiser and banquet. FMC is hosting a Health Fair on March 14th at the UPC Family Life center on Loop Road. Ms. Mason asked for Board approval to offer Marc Todd a nursing scholarship. The motion was made by Mr. Warner, seconded by Mr. Price and followed by a unanimous vote to approve. The motion to approve the CNO report as given by Ms. Mason was made by Mr. Warner, seconded by Mr. Price, and followed with a unanimous vote to approve. Legal Report: Blake Kramer presented the following: Mr. Kramer, under the topic of Compliance Education, discussed the policy regarding the False Claims Act. Mr. Kramer is in the process of auditing medical charts that have been brought to the compliance committee over the last year to insure they have been properly handled. Policy and Procedure manuals will be presented to the board soon for review. Mr. Kramer presented for approval for the adoption for a campus non-smoking policy. Mr. Price made the motion to approve, seconded by Mr. Warner, followed with a unanimous vote to approve. Mr. Poulos sought a motion to remove Mr. Belila from all FMC accounts. The motion was made by Mr. Price, seconded by Mr. Warner, and followed with a unanimous vote to approve. Board Discussion Topics: Mr. Warner discussed the willingness of the Board to be accessible by the employees and the members of the community. Mr. Kramer is taking steps to remind the employees of the grievance process implemented by FMC’s human resource department, the Board Personnel Committee, and to remind everyone that the meetings are open. The human resource department will present concerns to the Board. Administrative Report: Mr. Boullion reported the following: Dr. Chisley has decided not to practice at FMC. The Board, administration, and physicians are proving their commitment to improve the hospitals future by committing to an educational retreat. Their have been great efforts to move forward with the reopening of the Gift Shop. There is a general physician looking to come to our area and we are hopeful he will choose to relocate to Franklin Parish. FMC administration is continuing to move forward with efforts to locate a general surgeon. Discussion regarding hospital capital equipment improvements. Executive Session: The motion was made by Mr. Warner, seconded by Mr. Price, and followed with a unanimous vote to enter executive session. Open Session: The motion was made by Mr. Warner, seconded by Mr. Price, and followed with a unanimous vote to resume the meeting in open session. Mr. Poulos sought a motion to proceed as directed in executive session regarding Dr. Chisley. The motion was made by Mr. Warner, seconded by Mr. Price, and followed with a unanimous vote approve.
